My girlfriend is experiencing the same problem. The network manager applet keeps asking the password and dmesg shows many timeout events. She is running Ubuntu 8.10 32-bit with a Intel 3945 Pro Wireless. I tried installing the PPA packages for network manager but it did not work.
The strange thing to me is, I'm running the same (more or less). I'm running Ubuntu 8.10 64-bit with a 3945 wireless chip and my wireless works PERFECTLY. AFAIK I have not done anything strange to my setup to make it work. I'll gladly post any logs and config files here if they'll help.
