I'm having exactly the same problem in Gentoo amd64.

Actually I'm using mem=4000M, the laptop is not rebooting and 'free' reports:
ti...@alice ~ $ free -m
total used free shared buffers cached
Mem: 3011 677 2333 0 9 162
-/+ buffers/cache: 505 2505
Swap: 0 0 0

I've found out people using Vista 64 bits has the same problem (a guy
from the laptop vendor said me) and the way they "fix" it is making
something similar to set mem=4000M on Linux.

Therefore, I think the problem is really only in our BIOS.
