I have probably the same problem trying to upgrade a server behind a proxy 
using do-release-upgrade. 
proxy is set using http_proxy environment variable.

# do-release-upgrade
Checking for a new ubuntu release    
 <= here it wait for about two hours, then process continue
Done Upgrade tool signature          
Done Upgrade tool                    
Done downloading                     
extracting 'lucid.tar.gz'
....  <= upgrade finished normally

During all the wait time netstat show connection like the following to a number 
of different servers:
tcp        0      1 10.16.49.221:35150      130.59.10.36:80         SYN_SENT    
6109/python2.6       

During package download the connection was to the proxy as expected.
