I assume you are using quantal.
So, check you have already installed linux-image-generic and
linux-headers-generic, next to this re-try a dist-upgrade:
sudo apt-get update
sudo apt-get install linux-image-generic linux-headers-generic
sudo apt-get dist-upgrade
If you have a mismatch also next to this procedure, post here:
dpkg -l linux-image-generic|tail -n 1
dpkg -l linux-headers-generic|tail -n 1
** Changed in: ubuntu
Status: New => Incomplete
