This is not an upstart bug.  Upstart  does support using /etc/nologin
from the 'shutdown' command, but this is only used is very specific
situations and upstart always clears the file before actually shutting
down.  Upstart could not possibly be responsible for the /etc/nologin
file appearing in the manner described.
