I noted similar behaviour immediately following a wheezy upgrade on one in five Dell servers with bonded eths. I found that Debian package: firmware-linux-nonfree was NOT installed, and this mentions tg3 firmware.
I tried: sudo apt-get install firmware-linux-nonfree sudo reboot The error now appears to be resolved on the one host that was emitting warnings every minute. Hope this helps.
