Thanks for reporting this bug.

I tried to reproduce this with a 14.04->14.10 upgrade, but the upgrade
succeeded.

Interestingly, the terminal log shows;

insserv: Service mountkernfs has to be enabled to start service
cgmanager

This suggests that you are running sysvinit rather than upstart?  Is
that the case?

If that is the case, then there still should be no problem with
mountkernfs.  What does 'sudo /etc/init.d/mountkernlfs start' show?

If it is *not* the case, then it sounds like your cgmanager package may
have been corrupted - is there a /etc/init/cgmanager.conf file?  What
happens when you do 'sudo start cgmangaer'?
