i found out that installing unionfs-fuse works as a solution for this problem 
(a retry with another flashdrive got the system to boot properly)

BUT fuse is not really a solution since overlayfs or aufs are faster..

the problem narrows down to one question

"why is overlayfs or aufs not available at boot time on the live
system?"


i tried with an additional kernel parameter UNIONFS=overlay  and immediately 
drop to a busybox again..

both modules can be loaded when the live system is running so the
problem probably resides in the initramdisk?
