I've got similar problems but on Ubuntu 9.10 64bit
First, when I installed this ubuntu, I recovered all /etc/mysql/ files from
9.04 and moved it to my current Ubuntu installation.
Then after a while I installed mysql-server 5.1 which gave my configuration
error while installing.
After some playing around I've purged all server packets, renamed /etc/mysql to
/etc/mysql1 and installed server again, it got mysql working, it starts and
restarts, however I get this message when starting:
>> /etc/init.d/mysql: WARNING: /etc/mysql/my.cnf cannot be read. See
>> README.Debian.gz

Also, while installing mysql-server packages I've got this:
 * Stopping MySQL database server mysqld [ OK ]
091209 11:45:51 [Note] Plugin 'FEDERATED' is disabled.
091209 11:45:51 InnoDB: Started; log sequence number 0 44233
091209 11:45:51 InnoDB: Starting shutdown...
091209 11:45:53 InnoDB: Shutdown completed; log sequence number 0 44233
091209 11:45:53 [Warning] Forcing shutdown of 1 plugins
 * /etc/init.d/mysql: WARNING: /etc/mysql/my.cnf cannot be read. See
README.Debian.gz
 * Starting MySQL database server mysqld [ OK ]

Although I've got no idea if it's relevant or not.
Once I copy old my.cnf file, mysql fails to start until it's removed.
I went to mysql-common and manually extractet my.cnf buried in this package.
after placing it in /etc/mysql/ I can start mysql server. So I'm guessing that
the old my.cnf from Jaunty must have something wrong that doesn't let it work
with mysql-server from Karmic
