If you can download or check out the source and debug, starting from
org.apache.cxf.jaxrs.spring.JAXRSClientFactoryBeanDefinitionParser, then
it would really help.
Few jaxrs:client declarations are available in tests, one in
systests/jaxrs/.../resources/jaxrs_soap_rest, it has the headers section
but loads fine...
Putting few breakpoints into the above class should show what is going wrong

What is wrong with headers?
Does it happen in the OSGI environment ? Looks like a class loader issue...We
have a simple jaxrs client loaded from Spring where the headers are also
specified. It is difficult to figure out where the problem is without a test
case.
