Windows XP should automatically update to the MultiProcessor HAL when it sees a
CPU change, however sometimes you need to force it.

http://support.microsoft.com/kb/309283/ also if you browse some of the VMWare
communities you will see this issue + solutions mentioned many times.

Always do this on a clone of your machine, sometimes the upgrade goes wrong and
then you have a dead machine.
