I guess if you're looking for something elegant, don't read on. But if you don't want the kernel to load serial.o, just:
. compile it as a module, which you did . move it out of /lib/modules/2.4.x.-y then, the kernel can't find it. Also, by looking at error messages, maybe you can see what loads it. I imagine there is a kernel command line parameter to keep it unloaded also.
