You can run in VMWare Fusion on Macintosh Hardware. I already have a
blurb when you logon stating they need to fully understand the license
before proceeding.

I do not see an issue with distributing the Ubuntu version of the
virtual appliance. The Windows version, the person downloading would
have to have a Windows XP Key when they first login to the appliance
to register windows.
