Qualcomm agreed to acquire Atheros Communications for $3.1 billion in cash, seeking to fill a hole in its chip-making operations.

Atheros's shares closed Tuesday at $44, compared with the $45 offer price. The target's stock had surged Tuesday following news that Qualcomm was close to making the deal.
