Ramarao,

On Q1, if you have an MQC policy that uses bandwidth and or priority 
commands and the sum of those commands equals 100% (or the entire 
bandwidth of the interface) then you must have the max-reserved 
bandwidth 100 cammnd on the interface. Otherwise the IOS will not allow 
you to apply the policy to the interface. To answer your question, the 
default behavior is to disallow the application of the policy to the 
interface.

To answer Q2 I'd need to see some sample configs, but there is no reason 
the MQC policy has to match exactly on both sides. However depending on 
the specifics it may or may not cause undesirable results. Really I'd 
need more information to answer your question.
