I've seen this before, and it turns out it was a corrupted download of 
the installer.

Check the checksum of the file, or just redownload the whopping 400MB 
installer.  I think they list the checksum on the Adobe CF downloads page.

Also, I suggest for you to not upgrade, but do an uninstall CF8, 
restart, and then install CF9.  I highly recommend, if you can, to just 
do a fresh install.

It'll help you setup your app from scratch as well :-)
