Could be 2 things:  an older boot ROM (not stable with 12.0) conflict (I
believe 11.3 came with a 11.0 ROM & 12.0 is suggested to have an 11.3 ROM),
or just a config (or NVRAM) conflict.  Do you see a message when reloading,
that reads something like this... configs made in 11.XX may not be
compatible ???  From time to time, I've had to wiped NVRAM & re-installed
the config.  3rd scenario, is your new IOS a GR version ???
