ISA isn't necessary for RPC over HTTP(S). It can offer you an extra level of security, such as terminating the SSL connection to the ISA server, but it's not a requirement by any means.

However, being that this is an exchange List which leads me to believe the original poster is also running Exchange..... ISA Server has much more to offer than just proxy services. It's a full featured, application level firewall as well. Some of the advantages it has over Squid are secure publishing of OWA (both up front authentication and web filtering). SMTP filtering, should you choose to use it. And other non-exchange related filters. ISA will also allow for integration into AD and authentication on AD accounts / groups. (Last time I looked, Squid didn't offer that functionality, unless they've got LDAP support in Squid now?)
