Only if you plan on using the LDAP features of Exchange 5.5.  Since your
W2k server is a DC (I assume that's what you mean by stating you have
the AD on the machine) the default LDAP port of 389 is grabbed by W2k.
Exchange 5.5 cannot therefore use that port, so you'll need to change it
within the Exchange Administrator program.

Other than that, I'm not aware of any issues.

I run Exchange 5.5 on Win2k servers here with no problems at all, in
fact I believe it runs better on Win2K than it did on NT.  We are still
an NT domain, haven't finished our AD migration - but your post doesn't
specify whether you are NT or AD. So - if you are an NT domain - no real
issues, just make sure you apply all the appropriate Service Packs and
security hot fixes.
