Only if you plan on using the LDAP features of Exchange 5.5. Since your W2k server is a DC (I assume that's what you mean by stating you have the AD on the machine) the default LDAP port of 389 is grabbed by W2k. Exchange 5.5 cannot therefore use that port, so you'll need to change it within the Exchange Administrator program.
Other than that, I'm not aware of any issues.
