If you are applying policies, then by default, policies inherit down. That can be a major impact either way.
Modern versions of Outlook 2010/2013 have no significant limits (recommended limits do exist, but they are large numbers) as to the number of items or subfolders contained within them. Personally, I put them off the root. Takes up less space in my Favorites list.
