Are you sure you have the latest one (2.4.9.2_2,2).
If not, you can grab it from here: 
http://www.freebsd.org/cgi/cvsweb.cgi/ports/ports-mgmt/portupgrade/ (the page 
has a small "download as a tarball" link
at the bottom).
