This may have nothing to do with your problem but...

What happens if you ping the firewall by name (on the box itself)? Does the
IP address match what you have defined in the firewall object? I had the
same issue on a W2K FP3 test box, where the binding order of the NICs was
wrong and no matter what was in the hosts file, the IP address of the box
always resolved to the DMZ interface IP, not the external IP I had defined
in the firewall object. The policy wouldn't install, and the only thing it
would tell me was that it failed, no details as to why. Fixing the binding
order fixed the problem.

I've had restore the fw to it's original state ie fp2, I'm working
replicating it on another machine to play with. Will let you know how i get
