You shouldn't be upgrading from NCP2 to 3.. it should be a dist-upgrade.

The "could not run upgrade simulation" is a known issue (#19), and
will be fixed before NCP3 final. We will concentrate on upgrade
bugfixes in the coming weeks. For now you'll need to freshly install
NCP3 if you want the latest opensolaris builds.
