1. I'm not an expert on copyright, but you are right that you cannot make a copy if a DVD exists. If the DVD doesn't exist, you can make a copy, but you should think twice about the work and storage this takes. If the VHS is too old to be of interest or use, don't bother. How often has it ever been used, and more importantly has it been used recently. I don't know about keeping he VHS; I know we did when we were just making a preservation copy, but I don't know about a format that's now obsolete.
2. I can't imagine anyone who wants VHS, and you might as well throw them away if you can't find an archive that might want them. If you can't bear to do that, donate them to some second hand store, and they'll throw them away for you.
