This failure code indicates a mismatch between the transport layer of the VSWITCH and the network card you're coupling to it.  In your case you've defined a layer 2 VSWITCH (type ETHERNET).  The VM TCP/IP stack does not support layer 2 connections, which is why you receive this error when you attempt to bring up the device.  This message should have been accompanied by "DTCOSD355E  Possible LAN transport misconfiguration detected during OSD device initialization." which gives a much better idea of what is actually occurring.
