If you don't have a fast internet connection on the target machine and need distro-upgarde, then clean installation is the answer. You can download Karmic Koala from http://www.ubuntu.com/ and burn the image to a compact disk or use usb-creator to make an image on a thumb drive. Then boot into the disk from the target machine and make a clean installation. If you need to download packages from a machine and install them on another machine, you can use apt-on-cd to bundle all the packages to a disk image and use the same application on the target machine to restore those packages. If you download all the .deb packages from a windows host or simply a download manager, then you can drop all the packages in /var/cache/apt/archives. Then open synaptic and reload the package list (sometimes a reboot may required). Then you can mark those packages for installation.
