It starts with just a GPF type message stating that the SMTP32.exe
service has filed. Then we get the wacked message stating that
SMTP32.exe entry point could not be found. That pops up about three to
four time and then takes out the server (hard reboot) with a kmode
excepections, etc., etc.

Here's the NT Event Log entries (it's a win 2K Adv Server):

What kind of crash -- a BSOD, system hang, pop-up error message, etc.?

I can't imagine that an Intel NIC would cause this.  I believe that the 
only network card that is guaranteed to have problems with IMail is
Linksys 
(although there are quite a few "cheapies" that can often have
problems), 
and with that you'll see a BSOD (Blue Screen of Death).
