Regarding the NTFS side of things, NTFS will theoretically hold as many
files as you can store on the disk along with the FAT (file allocation
table). However before SP 6a there was a bug which limited the FAT to 4GB
which is enough for around 4million files/folders. On SP6a you should be
able to use the full disk capacity.
There are articles in Microsoft's knowledge base "Technet" which describe
these limits, the FAT size per file. If you are going to have very large
file allocation tables it is also wise to modify the initial space allocated
to the FAT from the default of 12.5% (I think) up 25 or 50%. This a registry
setting which is described in the main technet article about NTFS. This is
not critical as the FAT will grow however it does mean that it will not
become fragmented which is very important for long term performance.
