Looks like a good plan to me, but they aren't "sharing a domain".

Exchange.domain.com.  mx 10 exchange.domain.com.
Exchange.domain.com.  mx 20 students.domain.com.

students.domain.com.   mx 10 students.domain.com.
students..domain.com.  mx 20 exchange.domain.com.

.... assuming you want one to be backup MX for the other.

I bet the boxes are on RFC1918 ip's, and DNS is about public ip's.  So use 
Win hosts file on each machine to tell it what the other sub-domain's 
private IP is.
