downloading 3.3

I am very new at all of this. I have some questions about the 3.3. Here
they are.

Do I just shut down the 3.2 when I download 3.3 or do I have to unload it
first? 

Does the new eloquence download with it or do I do that separately? 

Appoxiamately how long does it take with a 56k modem?
