It happens if you have any customized Reports; the built-in reports do not trigger this. When the program checks for any references to the Payee to decide whether it needs to replace it before deleting, it checks Reports. Customized reports which have not been modified to refer to any specific Payees by default includes ALL Payees, and thus triggers the request for a replacement.
