I think that the MS EULA or business license agreements say that the customer
is responsible for paying all fees related to software audits and as a Microsoft
partner, the BSA can require the audit.  Ask Ernie Ball, I'm sure he'll be more
than helpful in explaining how they legally forced the audit on his company.

Sounds like a strong reason to not have any arrangement at all with
Microsoft.
