bcm4312 can only works under 32bit kernel, so far.

I think your meaning is under amd64 and i386 subdirectory of ndis-1.1?
1. Don't make under amd64/ with 32bit XP driver.
2. Before you issue add_drv to attach 32-bit bcmndis, please ensure you 
have booted into 32 bit kernel, had you? what's the output of "isainfo -b"?

Because bcm4312 is not supported under 64bit Solaris kernel.

What's the channel # between peers? IBSS mode just work, so far. I would 
suggest you use the channel# under 10, which is more stable in 32bit 
kernel mode.
