You just rock :) About that agreement, 1) It looks like they are covering their behinds in case they go under (and people lose data). 2) I don't have a law degree, and perhaps I'm out of place saying this, but an agreement like that with no severability clause is *so* not enforceable if challenged in court. All it takes is one skillful lawyer to invalidate any clause in that, and the whole thing gets tossed. And there's nothing a judge wants to do more than toss something out all at once (including your case) to speed things up and get the hearing off his calendar.
