If the Pearson bid had been unconditional it might have won - but then  
Pearson would be in the same position that Bates is in - he would have  
acquired 
the club without a CVA, and therefore the League would not transfer  the golden 
share.
 
Would the League have seen the Pearson ownership as an "exceptional  
circumstance"? We shall never know...  
 
The vagueness of the FL rule is the root of the problem now - just try  
defining "exceptional circumstances".
