The rule (see here: http://www.football-league.premiumtv.co.uk/staticFiles/78/3/0,,10794~888,00.pdf - Resolution 11) is that if there are less than 72 teams in the league, a new member can join in the third division.
This leads me to the following conclusions: 1) The official result is that OldCo had to leave the league. 2) One club from L2 would have to be promoted to L1, or one of the relegated teams from L1 not dropped to L2. 3) There's nothing that says if OldCo left the league, NewCo would be guaranteed the subsequent space in L2. 4) The League offered them the spot anyway, or taking a 15-point penalty and staying in L1. 5) Because of 2 & 3, which could promote another team up a division (I'm sure a conference side could argue they would be more deserving of the open slot - and NewCo should sod off to the West Yorks Sunday League) and the League not really wanting to lose the best-supported team it has, it has kept shtum over this fairly obvious answer so that no other team would twig until it was too late for anything to be done because Leeds had spent a season back already. 6) Bates hasn't mentioned it because it puts a large hole in the "we had to accept 15 points or die" argument.
