I have seen small substitutions like upgrading scsi controller, to
a mostly compatible later part.  But changing a northbridge wow.

Is the northbridge compatible enough that you can setup the memory and
handle the differences in C code?

I've heard rumors of board counterfitters.  I'm almost wondering if
part of the problem might be resellers being confused.  You don't have
to be very bright to sell hardware.  Especially if you aren't normally
selling to people who can tell if you substiuted one board for
another.

Ron have you looked at the printing on the motherboard and confirmed
the two boards claim to be the same model?
