We are getting similar errors on our box (I have upgraded to 768M of ram, and we no longer are swapping). I have file-max set to 2^16 (65536), doing lsof |wc showes only 24k-32k open file at a time. The error we were seeing was coming from fam. Someone had reported to me earlier that fam should be disabled, so we did that today after yet another reboot. Check syslog and see if the too many files error is coming from fam.
