Maybe you are falling over the same problem I had on a Windows installation.
On postgresql 8.4x, lwpostgis.sql has been renamed postgis.sql and has moved
to:
"%ProgramFiles%\PostgreSQL\8.4\share\contrib\postgis-1.4\postgis.sql"
