Innards are the same I believe, the bell housing is different.  We had a
tranny w/ the 123 bell housing that we junked a couple weeks back -
wouldn't downshift unless you moved the gear shifter.  Were gonna keep
for parts but swapping bell housing is too much a PITA for a trany that
doesn't work perfectly.
