What happens if you unpack the mod_ssl sources in the Apache modules
directory and name the mod_ssl directory ssl, like:

$cd /home/tony/apache_1.3.6/src/modules
$tar -zxvf ~tony/mod_ssl-2.2.8*gz
$mv mod_ssl* ssl
$cd ssl
$./configure --with-apache=../../..
$cd ../../..
$ SSL_BASE=/path/to/openssl ./configure ... --enable-module=ssl
