This is a hardware cpu/bios issue, as others have mentioned.  I'm not familiar 
with HP's server line, but with Dell, their generation 8 servers (2800, 2850, 
etc) have the same issue.  These are the first Intel processors that supported 
64 bit, but they do not support 64-bit guest operating systems as they don't 
have the virtualization technology.  To get that, you must have a generation 9 
server (1950, 2950, etc) that has the option in the bios to support 64-bit 
guest systems.

It has to do with the processors and what they can support.

I looked everywhere in the BIOS settings and found no reference to enabling or 
disabling the 64Bit. 

However the BIOS possibility is ruled out because I am able to install it 
directly. It is only on VMware ESX 3.5 as virtual machine its not working..!!
