ok, this one was wierd ... adprep did not process the sch31.ldf file , so it set the AD at version 30, but 2003r2 requires AD version 31 ...

You might try running adprep as the Schema Master user ID again. Since there is Exchange sitting on a DC you might need to update the Exchange Schema as well before you can dcpromo a W2k3 server.
