I'm not sure what you mean by the above statement, but it looks like you've
misunderstood something.

You can use the OGL and the d20 SRD to do just about anything you want,
including make rules for creating characters and showing the effects of
experience.  This does not invoke the d20 STL.

If you want the logo and d20 Trademark, you must also abide by the d20
System Trademark License.  The d20 STL is only a trademark license - you do
not need to use it if you only want the material in the d20 System Reference
Document, which is being released under the Open Gaming License.

Yes.  There is a discussion on eGroups (d20-xml) on that very topic.  We're
currently wrestling with spells and modifiers, though traffic on that list
is light.
