Yes.  Anytime you "share" a copy with someone who does not have a 
totally legal right to make that file themself, it's infringement.

However, the "Gentleperson's Agreement", which was made by Ryan Dancy 
as-a-VP-at-WotC, covers all of the files on the OGF website.  Use them 
as much as you want, just make sure that they & anything you make based 
on them is Clearly Marked as OGC.

*DO NOT* in any way, shape, or form touch a WotC book that the D20 
Trademark license doesn't specifically give you permission to reference, 
and *only* touch them for reference.  For actual "writing," use the SRDs.
