I needed to do a similar thing. I also have a viewport that fades in and out. The solution I've found (it might not be the best) was to add a third viewport that stays between the other two viewports in which is rendered a rectangle (that covers all the window). After that you just have to vary the transparency of that rectangle. That's all assuming you're using DepthClearBackground's.
