Check and see if you're using the absolute latest version of Drive Setup.  Sometimes 
that makes a difference.  I've run into some drives that will format if you use a 
later version.  Some however just refuse to format and you'll need another formatting 
utility as suggested above.  I've had success with APS PowerTools for example when 
Drive Setup failed.
