I don't know about your situation, but a friend of mine got diluted by the company issuing more stock. So his, let's say, 10% turned into 1%.
Take CASH + Stock. Talk to a LAWYER. I'm actually in this same situation now on brand new company. Instead of a 1/3 partnership, I'm going to take CASH + 10% ownership.
