I actually have 2 friends that are IP lawyers. The one guy has his own
business (and I just met up with him this weekend to discuss some
technology issues - but not SW related ones). He has a website with
contact info on there. The dudes a bit way out there - but, in his field
of IP - he is seriously Top Notch. And, if you tell him that I was the
one that referred you - he may give you a little break on pricing. His

A startup company would like to purchase exclusive rights to my
IP (intellectual property) in exchange for S-corp stock. My IP
consists of source code, technical and end-user documentation and
training materials, a customer and partner list, domain names,
etc. Have any of you gone through this process before? I'm
looking for advice and/or a recommendation regarding a specific
lawyer or accountant (I'm in NJ). I plan on using a professional
to guide me, but I'd like to develop some background on this
topic before I begin this process. Any suggestions appreciated!
