It's really not that complicated. All you have to do is:
1) download and install 'ActiveState Perl'
(http://www.activestate.com/Products/activeperl/index.mhtml) on your
computer
2) download and install 'flac2mp3.pl'
(http://projects.robinbowes.com/download/flac2mp3/) (download one of
the zip files)
3) download and install 'FLAC' (http://flac.sourceforge.net) and 'LAME'
(http://www.free-codecs.com/download/Lame_Encoder.htm). If you put them
in the same folder as flac2mp3.pl then you can skip step 4 and go right
to step 5.
4) edit these lines in flac2mp3.pl to point to the folder(s) where you
installed LAME and FLAC
5) open a command (DOS) window and run the command

-FLAC2MP3.PL <FLACDIR> <MP3DIR>-

where <flacdir> is the top-level folder for your FLAC files and
<mp3dir> is the top-level folder where you want to put the MP3s.
6) let it run. With hundreds of CDs it might take a couple days....

flac2mp3.pl will build the folder structure for you -- a perfect mirror
of your FLAC folder tree. It just won't do the album art. Yet.

Don't re-rip. Using one of the transcoders like flac2mp3 or dbpoweramp
and then putting in the album art via mp3tag will be much less of a
chore than re-ripping.
